1. Agreement to Terms

By accessing or using Flux ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you disagree with any part of these terms, you may not access the Service.

2. Description of Service

Flux is a software-as-a-service platform that helps sales representatives identify stalled deals in their HubSpot CRM and generate AI-powered follow-up emails.

3. Account Registration

To use the Service, you must:

  • Provide accurate and complete registration information
  • Maintain the security of your account credentials
  • Be at least 18 years old or have parental consent
  • Have the authority to bind your organization to these Terms

You are responsible for all activities that occur under your account.

4. Subscription Plans and Payments

4.1 Plans

  • Free Plan: Limited to 5 deals and 3 AI-generated follow-ups per month
  • Pro Plan: $19/month for unlimited deals and AI-generated follow-ups

4.2 Billing

  • Subscription fees are billed monthly in advance
  • Payment is processed by Stripe, our third-party payment processor
  • All fees are non-refundable except as required by law or at our sole discretion

4.3 Cancellation

  • You may cancel your subscription at any time
  • Cancellation takes effect at the end of your current billing period
  • No refunds will be provided for partial months

5. HubSpot Integration

5.1 Authorization

  • You grant Flux permission to access your HubSpot account data
  • We only access deal information necessary to provide the Service
  • We do not modify or delete data in your HubSpot account without your explicit action

5.2 Your Responsibilities

  • You are responsible for the accuracy of data in your HubSpot account
  • You must have proper authorization to connect your HubSpot account
  • You are responsible for all follow-up emails generated and sent using our Service

6. Acceptable Use

You agree NOT to:

  • Use the Service for any illegal purpose
  • Send spam or unsolicited communications
  • Attempt to gain unauthorized access to the Service or other users' accounts
  • Use the Service to transmit malware or harmful code
  • Reverse engineer or attempt to extract the source code of the Service
  • Resell, rent, or lease the Service to third parties

7. Intellectual Property

7.1 Our Property

  • Flux owns all rights to the Service, including its software, design, and content
  • These Terms do not grant you any intellectual property rights in the Service

7.2 Your Data

  • You retain all rights to the data you input into the Service
  • You grant us a limited license to use your data solely to provide the Service
  • We may use aggregated, anonymized data for analytics and service improvement

8. AI-Generated Content

8.1 No Guarantees

  • AI-generated follow-up emails are suggestions only
  • We do not guarantee the accuracy, appropriateness, or effectiveness of AI-generated content
  • You are solely responsible for reviewing and editing AI-generated content before sending

8.2 Your Responsibility

  • You must review all AI-generated content before use
  • You are responsible for all communications sent using content from our Service

9. Data Privacy and Security

Your use of the Service is also governed by our Privacy Policy, available at https://getflux.app/privacy. We implement reasonable security measures but cannot guarantee absolute security.

10. Service Availability

10.1 Uptime

  • We strive to maintain high availability but do not guarantee uninterrupted access
  • We may perform maintenance that temporarily limits access to the Service

10.2 Modifications

  • We may modify or discontinue the Service at any time with or without notice
  • We are not liable for any modification, suspension, or discontinuation of the Service

11. Termination

11.1 By You

You may terminate your account at any time through your account settings.

11.2 By Us

  • We may suspend or terminate your account for violation of these Terms
  • We may terminate accounts that have been inactive for extended periods
  • Upon termination, your right to use the Service ceases immediately

11.3 Effect of Termination

  • We may delete your account data following termination
  • We may retain certain data as required by law or for legitimate business purposes

12. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

WE DO NOT WARRANT THAT:

  • The Service will meet your requirements
  • The Service will be uninterrupted, timely, secure, or error-free
  • The results obtained from the Service will be accurate or reliable
  • AI-generated content will be suitable for your purposes

13. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, FLUX SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES.

OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM, OR $100, WHICHEVER IS GREATER.

14. Indemnification

You agree to indemnify and hold Flux harmless from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from:

  • Your use of the Service
  • Your violation of these Terms
  • Your violation of any rights of another party
  • Content you generate or send using the Service

15. Governing Law

These Terms shall be governed by the laws of the Province of Quebec, Canada, without regard to its conflict of law provisions.

16. Dispute Resolution

Any disputes arising from these Terms or the Service shall be resolved through:

  • Good faith negotiations
  • If negotiations fail, binding arbitration in Montreal, Quebec
  • Small claims court (for claims under applicable limits)

17. Changes to Terms

We may revise these Terms at any time. We will notify you of material changes by:

  • Posting the updated Terms on our website
  • Sending you an email notification (for significant changes)

Your continued use of the Service after changes constitute acceptance of the new Terms.

18. Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.

19. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Flux regarding the Service.

21. Geographic Restrictions

The Service is intended for users in Canada, the United States, and the European Union. We make no claims that the Service is appropriate or available for use in other locations.
